Please read these Terms and Conditions carefully before using MACSAP. By accessing or using the MACSAP application or any related services, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately cease use of MACSAP.

1. Definitions

In these Terms and Conditions, the following definitions apply:

  1. "MACSAP" refers to the algorithmic trading assistant application, including all software, features, content, and services made available by Sama Digital Innovation LLC.
  2. "Company," "we," "us," or "our" refers to Sama Digital Innovation LLC, a limited liability company incorporated under the laws of the United Arab Emirates.
  3. "User," "you," or "your" refers to any individual or entity that accesses, downloads, installs, or uses MACSAP.
  4. "Platform" refers to the MACSAP mobile application available on iOS and Android, together with the associated website at macsap.com.
  5. "Services" refers to all features, functionalities, tools, and content provided through the Platform.
  6. "Subscription" refers to any paid or trial access to MACSAP's premium features.
  7. "Demo Account" refers to the virtual trading environment provided for simulation purposes only.
  8. "Live Account" refers to a real trading account connected to a third-party broker through the Platform.

2. Acceptance of Terms

By creating an account, accessing the Demo Account, or using any feature of MACSAP, you represent and warrant that:

  1. You are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher.
  2. You have the legal capacity and authority to enter into these Terms.
  3. You are not located in, or a national or resident of, any jurisdiction where use of algorithmic trading software is prohibited or restricted by applicable law.
  4. Your use of MACSAP does not violate any applicable laws, regulations, or contractual obligations.
  5. All information you provide to us is accurate, current, and complete.

3. Nature of Service

MACSAP is an algorithmic trading assistant tool — not a financial advisor, investment manager, or licensed broker. All trading signals, bot decisions, and market analysis generated by MACSAP are automated outputs based on algorithmic logic and do not constitute financial advice, investment recommendations, or solicitation to trade.

  1. MACSAP provides automated trading signals and execution assistance for informational and analytical purposes only.
  2. The Company does not hold, manage, or control any user funds. All funds remain with the user's chosen third-party broker.
  3. MACSAP does not guarantee the profitability of any trade, signal, or strategy.
  4. Users are solely responsible for all trading decisions, whether executed manually or through the automated bot engine.
  5. The Company is not regulated by any financial authority including but not limited to the UAE Securities and Commodities Authority (SCA), the Dubai Financial Services Authority (DFSA), or the Financial Conduct Authority (FCA).

4. Account Registration & Security

  1. You must provide accurate and complete information when creating an account or connecting a broker account.
  2. You are solely responsible for maintaining the confidentiality of your account credentials, PIN, and biometric authentication.
  3. You must notify us immediately of any unauthorised access to your account at security@samadigitalinnovation.com.
  4. The Company reserves the right to suspend or terminate any account that shows signs of unauthorised use, fraud, or violation of these Terms.
  5. One account per user is permitted. Creating multiple accounts to exploit trial offers is strictly prohibited.

5. Subscriptions & Billing

  1. MACSAP offers a 7-day free trial for new users. No charge is applied during the trial period. The trial grants full access to all bot features on the Demo Account only.
  2. Following the trial, continued access to premium features requires an active paid Subscription.
  3. Subscriptions are billed on a recurring basis (monthly or annual) through RevenueCat and the relevant app store (Apple App Store or Google Play Store).
  4. Subscription fees are charged in advance at the start of each billing cycle.
  5. The Company reserves the right to modify Subscription pricing with 30 days' written notice to active subscribers.
  6. You may cancel your Subscription at any time through the app settings or your app store account. Cancellation takes effect at the end of the current billing period.
  7. Refunds are governed by the Refund Policy.

6. Demo Account

  1. The Demo Account provides a simulated trading environment using virtual funds for the purpose of testing and familiarisation only.
  2. Demo Account results, including profits or losses displayed in the simulator, are entirely hypothetical and are generated using modelled market behaviour.
  3. Demo Account performance does not represent, predict, or guarantee future real-money trading results.
  4. Virtual funds in the Demo Account have no monetary value and cannot be withdrawn or converted.

7. Broker Connectivity & Third-Party Services

  1. MACSAP connects to third-party brokers (including but not limited to Pepperstone) via the cTrader Open API. The Company is not affiliated with, endorsed by, or responsible for any third-party broker.
  2. The Company is not liable for any losses, disruptions, or errors arising from the actions, omissions, or technical failures of any third-party broker or API provider.
  3. Users are responsible for ensuring their broker account complies with all applicable laws and their broker's terms of service.
  4. The Company may discontinue support for specific brokers or APIs at any time with reasonable notice.

8. Prohibited Conduct

Users must not:

  1. Use MACSAP for any unlawful purpose including market manipulation, money laundering, or financing of terrorism.
  2. Attempt to reverse engineer, decompile, disassemble, or extract source code from MACSAP.
  3. Share, resell, sublicense, or transfer their account or Subscription to any third party.
  4. Use automated tools to scrape, crawl, or extract data from MACSAP.
  5. Introduce malicious code, viruses, or any harmful components into the Platform.
  6. Misrepresent their identity or affiliation when using the Platform.
  7. Attempt to circumvent any security, authentication, or access controls within MACSAP.

9. Intellectual Property

  1. All intellectual property rights in MACSAP, including but not limited to the software, algorithms, bot engine, design, trademarks, and content, are owned exclusively by Sama Digital Innovation LLC.
  2. Users are granted a limited, non-exclusive, non-transferable, revocable licence to use MACSAP for personal, non-commercial purposes in accordance with these Terms.
  3. The MACSAP name, logo, and brand identity are trademarks of Sama Digital Innovation LLC. Unauthorised use is strictly prohibited.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Sama Digital Innovation LLC, its directors, employees, agents, and partners shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of MACSAP, including but not limited to trading losses, loss of profits, loss of data, or business interruption.

  1. The Company's total aggregate liability to any user shall not exceed the total Subscription fees paid by that user in the 3 months preceding the claim.
  2. MACSAP is provided on an "as is" and "as available" basis without warranties of any kind, express or implied.
  3. The Company does not warrant that the Platform will be uninterrupted, error-free, or free from technical failures.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sama Digital Innovation LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or relating to your use of MACSAP, your breach of these Terms, or your violation of any applicable law or third-party rights.

12. Termination

  1. The Company reserves the right to suspend or terminate your access to MACSAP at any time, with or without notice, for any breach of these Terms or applicable law.
  2. Upon termination, your licence to use MACSAP is immediately revoked.
  3. You may terminate your account at any time by contacting support@samadigitalinnovation.com.
  4. Termination does not entitle you to a refund of any Subscription fees paid.

13. Governing Law & Dispute Resolution

  1. These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
  2. Any dispute arising out of or in connection with these Terms shall first be referred to mediation administered by the Dubai International Arbitration Centre (DIAC).
  3. If mediation fails, disputes shall be finally resolved by binding arbitration under the DIAC Rules, seated in Dubai, UAE.
  4. Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a competent court.

14. Amendments

The Company reserves the right to modify these Terms at any time. Material changes will be notified to users via in-app notification or email at least 14 days before taking effect. Continued use of MACSAP after the effective date constitutes acceptance of the revised Terms.
